What is a ready-made company? 

Ready-made s.r.o. company | ready-made a.s. | ready-made VAT-registered company or a shelf company is a commercial company (s.r.o., a.s., SE, j.s.a., etc.) that was established solely for the purpose of its subsequent sale to clients. It has never conducted economic activity and is legally and accounting-wise perfect. It has duly paid-up share capital and assigned Company ID (IČO) and Tax ID (DIČ). By purchasing it, you can start doing business almost immediately.

How long does it take until I can act on behalf of the ready-made company?

Practically immediately. When purchasing a ready-made s.r.o. company, you can act on behalf of the company as of the day you are appointed as the company's executive director. This means on the very day the transfer documentation is signed, as you are appointed as executive director by the general meeting as of the date of signing the documents. The entry in the Commercial Register only has declaratory effects (confirming the actual legal status).

How long does it take until I am registered as a partner of the purchased company in the Commercial Register?

The registration of changes in the Commercial Register takes an average of 10 business days from the date the client signs the transfer documentation. However, this period only applies if the company's business activities are not being changed, and therefore there is no need to wait 5 business days for the issuance of a trade license certificate. If business activities are changed, this period is approximately 15 business days.

Is it possible for you to provide me with access to the internet banking of the ready-made company I am purchasing from you? I need to make payments.

No, unfortunately, this is not possible because all existing bank accounts of all ready-made companies are linked to our internet banking access details. You can only manage the bank account after the changes are registered in the Commercial Register and after you take over the account at the bank. However, you can receive payments into the account as of the day the transfer documentation is signed.

What is a registered or virtual office?

A virtual office, also known as a registered office, is a service intended for companies. Every company must state its registered office upon its establishment. This company's registered office is entered into the Commercial Register of the Slovak Republic. A company's registered office can be a house, apartment, or non-residential space. The property owner can grant Owner's Consent for the establishment of the company's registered office.

Is it possible to purchase a ready-made company remotely, or do I have to come in person to sign the documents?

The transfer of a ready-made company can also be processed remotely. Documents can be sent to the client via email, who will sign them first and then send the signed documents to our office.

How do you handle the company's share capital, which is held in the company's cash holdings, when purchasing a ready-made company?

The share capital, which is held in the ready-made company's cash holdings and was duly paid upon the company's establishment, is handed over to the client with a handover protocol along with accounting documentation. The handover can take place in cash or by leaving it in the ready-made company's bank account.

Does a ready-made company have an open bank account? 

Ready-made companies registered for VAT have a bank account opened with Fio banka a.s. or Slovenská sporiteľňa. Ready-made companies not registered for VAT do not have an open bank account, but we can open one for the client for an additional fee.
