Online guide to founding a Slovak civic association

We send the founding documents to clients within minutes of the invoice being paid. The ministry, however, processes registrations in 30 to 90 days on average. It often fails to meet the statutory 15-day deadline due to the volume of filings.

The registered office of a civic association is only a correspondence address — it serves as the address for mail. It can be in a flat, a family house or any other property. No activity needs to be carried out at the address.

At least three natural persons are required, of whom at least one must be over 18. The law does not set a minimum age for the other founders. A foreign national or several foreigners may also be founders — but at least one founder must be a citizen of the Slovak Republic with permanent or temporary residence in its territory.

The name may be personal, descriptive or invented, but it must be pronounceable, distinguishable and comprehensible. It must not be defamatory, offensive or confusable with the name of a public authority or another legal entity operating in Slovakia, and it must not create a misleading impression about the nature of the association. The name does not have to be in Slovak and the word "association" is not mandatory. In official dealings and contracts, however, the legal form must be stated together with the registered office and company ID.

The law does not set a minimum number of members. At least three founders are required to establish the association — after it comes into existence it may have a single member.

If the association carries out no activity and has no income, it has no obligations such as levies, taxes or accounting duties — in that case it does not even have to file a tax return. Its obligations depend on the type of activities and income, so they must always be assessed individually.

A civic association is founded primarily for non-profit and public-benefit activity; no trade licence is needed for that. It may generate a profit, but unlike a commercial company that profit may not be distributed among members and may only be used to pursue the objectives and development of the association. It may therefore run a business only as an activity supplementary to its main activity, and this must be stated in the statutes. An association cannot be founded for the purpose of doing business.

Yes. A civic association is a legal entity obliged to keep accounts and cannot use simplified tax records. It may use double-entry bookkeeping without restriction; single-entry bookkeeping only if it does not run a business and its income in the previous accounting period did not exceed €200,000, including income from the share of tax paid. If it runs a business of any size or exceeds that threshold, double-entry bookkeeping is mandatory.

Buying a ready-made civic association lets you operate immediately — on the day you sign the documents you become its chair or member. Founding a new association means waiting roughly 30 to 60 days. If you plan to collect 2% of income tax, buying an existing association lets you start a year earlier.

A bank account is not mandatory and opening one is voluntary. If you plan to receive 2% of income tax, however, an account is essential.

No. To receive 2% of income tax the association must be entered in the notarial register of recipients — registration takes place annually from 1 September to 15 December and requires the association to have been founded in the previous year or earlier. After successful registration with the Slovak Ministry of the Interior we hand over the statutes stamped by the ministry, confirmation of the assigned company ID and the minutes of the constituent meeting.
