The Essentials of a Civic Association in Slovakia

Občianske združenia

Introduction
A civic association is one of the most important forms of citizen association in Slovakia. It provides a space for realizing common interests, whether it's culture, sports, education, charity, or other public benefit activities. This article explains in detail what a civic association is, how to establish one, its obligations, legal structure, how it operates, manages its finances, and ceases to exist. If you are considering establishing a civic association, this guide will provide you with all the necessary information.

What is a Slovak civic association?

A civic association is a legal entity that can be established by both natural and legal persons with the aim of realizing common interests. Its activities are governed by Act No. 83/1990 Coll. on the association of citizens. A civic association does not primarily have a business character; its goal is not to achieve profit, but to pursue public benefit, cultural, sports, educational, or other interests.

  • Characteristics:
    • The association is voluntary, non-profit, and self-governing.
    • It has legal personality from the moment of registration with the Ministry of Interior of the Slovak Republic.
    • The main principle of its activity is autonomy from the state and other organizations.

How to establish a civic association in Slovakia?

1. Preparation of the Statutes

The Statutes are a key document of the association. They must be prepared thoroughly, as they determine how the association will operate. The Statutes include:

  • Name of the association: It must be unique and not be interchangeable with other associations.
  • Registered office: The address where the association is located.
  • Purpose of activity: A specific description of what the association aims to achieve.
  • Membership: Conditions for admission, rights and obligations of members, and termination of membership.
  • Association bodies: Structure and competencies of individual bodies, and their appointment and decision-making processes.
  • Financial management: Method of asset management, rules for financing, and use of resources.

2. Submission of registration proposal

The proposal is submitted to the Ministry of Interior of the Slovak Republic, and the following must be attached:

  • Two copies of the statutes.
  • A declaration from the founders stating that they are establishing the association.
  • A list of founders including their signatures (minimum three, with at least one being an adult).

3. Association registration

  • The Ministry has 10 working days to make a decision.
  • If the proposal contains no errors and the statutes do not conflict with the law, the association is entered into the register of civic associations.
  • If deficiencies are found, the Ministry may refuse registration.

Rights and obligations of members of a civic association in Slovakia

Member Rights:

  • Participation in the association's activities.
  • The right to vote and be elected to the association's bodies.
  • To be informed about the association's activities, decisions, and financial management.
  • The ability to submit proposals and suggestions for the association's activities.

Member Responsibilities:

  • To adhere to the statutes and decisions of the association's bodies.
  • To pay membership fees (if stipulated).
  • To participate in the association's activities as agreed and to the best of one's ability.

Legal Structure of a Slovak Civic Association

  1. Supreme Body:
    • General Assembly or General Meeting.
    • Decides on fundamental matters such as amendments to the statutes, election of bodies, approval of the budget, admission of new members, and dissolution of the association.
  2. Executive Body:
    • The Chairperson or committee, which manages the association's day-to-day activities.
    • Responsible for implementing the decisions of the supreme body.
  3. Supervisory Body:
    • If stipulated in the statutes, it oversees financial management and adherence to the statutes.
  4. Other Bodies:
    • The association may have other bodies according to its statutes (e.g., expert committees, supervisory bodies).

How does a Slovak civic association operate?

Activities:

A civic association may carry out activities consistent with its purpose. However, it cannot primarily engage in business activities, but it may:

  • organize events,
  • acquire financial resources from donations, grants, subsidies, or public collections,
  • provide services to achieve the association's purpose.

Financial Management:

  • The association's financial management must be transparent and in accordance with its statutes.
  • Every use of assets must be for the benefit of the association's objectives.

Assets of a Civic Association

  • Sources of Assets:
    • Membership fees,
    • donations from individuals and legal entities,
    • income from its own activities (e.g., organizing events),
    • grants and subsidies.
  • Financial Management:
    • The association must keep accounts in accordance with legislation.
    • The association's assets are indivisible among its members.

Dissolution of a Civic Association in Slovakia

Voluntary Dissolution:

  • Based on a decision by the supreme body.
  • Following dissolution, asset liquidation takes place, and assets must be used for public benefit purposes or as per the statutes.

Compulsory Dissolution:

  • The Ministry of Interior of the Slovak Republic may dissolve an association if its activities violate the law.

Liquidation:

  • The liquidator ensures the settlement of liabilities and the use of assets according to the statutes or the decision of the competent authority.

Conclusion

A civic association provides a legal framework for citizens to pursue common interests. Its establishment, operation, and dissolution require knowledge of legislation and thorough planning. To successfully run a civic association, it is crucial to ensure transparency, adhere to legal regulations, and effectively manage the association's activities and assets.
